Supplier Agreement
1. Parties This Supplier Agreement is entered into by Northstar Logistics (“Supplier”) and Example Retail (“Customer”).
2. Term The term is twelve (12) months from the Effective Date, with an option to renew for successive twelve-month periods.
3. Payment Customer shall pay undisputed invoices within thirty (30) days of receipt (Net 30).
4. Service levels Supplier shall meet a 98% on-time delivery target, measured monthly. Performance below 95% for two consecutive months entitles Customer to a 5% service credit.
5. Renewal notice Either party must give written notice of non-renewal at least sixty (60) days before the end of the term.
6. Liability Aggregate liability is capped at the fees paid in the preceding twelve (12) months.
